Terms of Service

Agreement

These Terms of Service ("Terms") are an agreement between you and [LEGAL ENTITY NAME] ("PerToken", "we", "us") covering the PerToken API, portal, and website (the "Service"). By creating an account, creating an API key, or using the Service, you accept these Terms, the Acceptable Use Policy, and the Privacy Policy. If you accept on behalf of an organization, you confirm that you are authorized to bind it, and "you" means that organization.

Accounts and API keys

• You must be at least 18 years old and able to form a binding contract.
• Give us accurate account information and keep it current.
• Keep your API keys secret. You are responsible for all usage made with your keys until you revoke them. Revoke a key in the portal as soon as you suspect it has leaked.
• Do not share, sell, or publish API keys, and do not create accounts to get around limits or enforcement actions.

The Service

PerToken provides API access to open-weight AI models through an OpenAI-compatible interface. Available models, features, context lengths, rate limits, and prices are listed on our website and may change. We may add, change, or retire models. When we retire a generally available model we will give reasonable advance notice, except where a change is required for security, legal, or licensing reasons.

We aim to keep the Service available and fast, but unless we agree otherwise in writing, the Service is provided without a service level agreement. Current incidents are published on the Status page.

Model licenses

Each model is distributed by its developer under its own license and use policy, which is published on the model's Hugging Face page and linked from our model documentation. Your use of a model and its outputs must comply with that license and policy, including any use restrictions or prohibited-use policy its developer publishes.

Your content

As between you and us, you own the inputs you send ("Inputs") and, to the extent the law allows, the outputs the Service returns to you ("Outputs"). You give us a limited license to process Inputs and Outputs only as needed to provide the Service, to comply with law, and to enforce these Terms. We do not use Inputs or Outputs to train, fine-tune, or evaluate models.

You confirm that you have all rights and consents needed to send your Inputs, including any personal information they contain, and that sending them does not violate any law or third-party right.

Outputs and your responsibilities

Model outputs are generated automatically and can be inaccurate, incomplete, offensive, or similar to content produced for other users. Evaluate outputs before relying on them, and do not use them as the only basis for decisions that have legal, medical, financial, or similarly significant effects on people without appropriate human review. You are responsible for your applications and for how you use outputs.

Fees and payment

• Usage is charged at the per-token (or per-second, for audio) prices published for each model at the time of the request. The Service is billed on a [BILLING MODEL] basis, and payments are processed by [PAYMENT PROCESSOR].
• Charges are calculated from the usage our gateway meters for your account, including cached-token and batch discounts where they apply.
• Prices exclude taxes unless stated otherwise. You are responsible for applicable taxes.
• If you believe a charge is wrong, email support@pertoken.ai within 30 days of the charge. We will review it in good faith.
• We may suspend access for unpaid amounts after giving notice.

Acceptable use

You must follow the Acceptable Use Policy. You may not probe, disrupt, or overload the Service, get around rate limits or access controls, or reverse engineer the Service except where the law expressly permits it.

Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if your use creates a security or legal risk, or if we are required to by law. Where reasonable we will tell you first and give you a chance to fix the problem. Fees for usage before termination remain due. Sections that by their nature should survive termination will survive.

Third-party services

The Service relies on third-party infrastructure, including cloud networking, databases, and rented GPU servers, listed on the Subprocessors page. If you access PerToken through a third party such as OpenRouter, that third party's terms also apply to your relationship with it.

Disclaimers

To the fullest extent permitted by law, the Service and all outputs are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, PerToken will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. PerToken's total liability for all claims relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You will defend and indemnify PerToken against third-party claims arising from your Inputs, your applications, or your breach of these Terms or the Acceptable Use Policy.

Governing law and disputes

These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-laws rules. Disputes will be resolved exclusively in [DISPUTE VENUE], except that either party may seek urgent injunctive relief in any competent court.

Changes to these Terms

We may update these Terms. We will post the new version here and update the date above. For material changes we will notify account holders at least 14 days in advance by email or in the portal. Continuing to use the Service after a change takes effect means you accept it.

General

These Terms, together with the policies they reference, are the entire agreement between you and us about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of the business.
